Common elements such as trademark registration, opening a bank account, and obtaining tax registrations require local expertise and familiarity with procedures. Services - Company Formation
Name and Trademark Registration
To register a company name and trademark, we first verify whether the intended name or brand is already in use. This helps prevent potential conflicts during the registration process. If necessary, we advise on suitable alternatives.
We also recommend registering not only the company name but also the brand as intellectual property to ensure legal protection.
Articles of Association
Next, we determine the most suitable legal structure based on the business case. In practice, this is often a Limitada (Ltda.) This structure can be fully owned by a foreign entity. Depending on the intended activities and corporate structure, other legal forms may also be appropriate.
For foreign companies, appointing a local representative is mandatory when establishing an entity in Brazil. Ipanema International is authorized to act on behalf of its clients during the incorporation process through a Power of Attorney.
Incorporation Deed
Once the legal structure has been determined and, where applicable, the Power of Attorney has been granted, the company can be formally incorporated. We prepare the official incorporation document (Contrato Social) and, after approval, arrange for it to be signed by the relevant parties.
We then register the company with the local Chamber of Commerce (Junta Comercial), making the incorporation official.
Tax Registration (CNPJ)
Upon registration, the company receives a Brazilian corporate tax identification number (CNPJ) from the Receita Federal. This number serves as the primary identification for the company and is used for federal tax reporting.
Depending on the business activities and structure, additional registrations may be required at the state and municipal levels.

Bank Account and Initial Capital
The Brazilian banking system is strictly regulated. Opening a corporate bank account typically involves extensive KYC (Know Your Customer) procedures. Ipanema International supports this process and assists in meeting all requirements.
Although a Limitada does not require a statutory minimum share capital, it is common practice to contribute initial capital at the time of incorporation. This contribution is considered a foreign direct investment and must be registered with the Central Bank of Brazil (Banco Central do Brasil).
