Legal Representation

Businesses & Entrepreneurs

Overview

For the incorporation and operation of a company from abroad, Brazilian law requires that the business is legally represented within Brazil. Establishing a subsidiary therefore requires the appointment of a local legal representative, either an individual or a legal entity. This representative acts on behalf of the foreign company under a Power of Attorney (procuração).

The Power of Attorney is prepared in advance, with its scope tailored to the specific requirements of the foreign company.

Services - Legal Representation

Ipanema International, in cooperation with its partner law firm, offers clients the possibility of formal legal representation in Brazil. The standard Power of Attorney typically covers:

  • incorporation and registration of the legal entity

  • signing of official documents and contracts

  • representation before government and tax authorities

  • opening of a corporate bank account

  • acting on behalf of the company in legal proceedings

If required, an additional Power of Attorney can be issued for specific activities such as bank account management, HR-related matters, and treasury functions.
